VTB Capital Buys Share in Concern Kalina

The Russian cosmetics manufacturer Concern Kalina now has new stockholders: HSBC Bank PLC, which used to own a 7.08% shareholding in the business, UniCredit Securities International Ltd, with its 8.72% shareholding, and UniCredit Bank Austria AG, whose shareholding amounted to 10.72%, are no longer the cosmetics company’s shareholders. In addition, Kalina Finance reduced its stake in the business from 12.72% down to 3.59% and Renaissance Securities (Cyprus) Limited reduced its share from 19.89% to 7.98%.

Renaissance Securities (Cyprus) Limited increased its share in Concern Kalina, a Russian cosmetics manufacturer, from 12.09% to 15.51%. At the same time, Prego Holdings Limited reduced its share portfolio from 45.41% down to 30.66%, whereas Kalina Finance’s share in the company went up from 5.44% to 18.56%.

Concern Kalina (Russia’s major mass market cosmetics manufacturer) is currently going through significant shareholder structure changes. For one, Tarlot Holdings Limited no longer has a share in the company’s capital after its 24.98% shareholding has been sold. On the other hand, HSBC Bank Plc acquired 7.08% of the business’s shares and is now Kalina’s new shareholder. What is more, the shareholdings of Citigroup Global Markets Limited and GEMOF Russia Portfolio (Cyprus) Limited increased from 3.82% to 8.72% and from 2.75% to 5.07%, respectively.

Concern Kalina started reorganizing from an open joint stock company into a limited liability one. The decision to start the reorganization of Concern Kalina JSC into Concern Kalina LLC was supported by 5.24m votes against 1.19m of those who abstained, the company reports. The voting meeting also included the agreement on the procedure of exchanging Concern Kalina JSC’s shares for Concern Kalina LLC’s participant contributions: it was decided that Concern Kalina’s 6,438,348 shares (face value 70 RUR each) should be exchanged for a share in Concern Kalina LLC’s authorized capital. Unilever’s Russian daughter enterprise Unilever RUS completed the consolidation of a 100% shareholding in the cosmetics manufacturer Concern Kalina, Interfax reports. The buyout of 33,546 ordinary shares (about 0.52% of the company’s authorized capital) went through the day before. The shares were sold by both private individuals and legal entities. It was reported earlier that the price of the remaining 0.52% of shares would come to 4,267 RUR apiece. The agreement to buy an 82% shareholding in Concern Kalina was signed in October 2011.
