Electrometallurgical Industrial Complex of Chelyabinsk JSC to merge with Manganese Komi JSC and Vladprom and Co. CJSC

The shareholders of Electrometallurgical Industrial Complex of Chelyabinsk decided to reorganize the company by merging with Manganese Komi JSC of Inta, Komi, and Vladprom and Co. CJSC of Vladivostok. The corresponding agreement was approved of at the AGM by 631,505,117 votes, or 99.996% of the company’s voting stock. 945 votes, or .00015% of the voting stock, voted against the decision.
The shares of Electrometallurgical Industrial Complex of Chelyabinsk in the authorized capitals of both companies now come to 100% (compared to the previous 20%); these changes were registered on April 7, 2006.
The shareholders also extended the term of General Director Pavel Khodorovskiy for another five years.
