ChelPipe Shareholders Elect New BOD

UrBC, Yekaterinburg, July 2, 2019. Chelyabinsk Pipe Rolling Plant’s (ChelPipe) annual general meeting took place on June 28, ChelPipe Group’s press service reports.

The meeting got attended by the company shareholders (and/or their representatives) who own 97.2715% of the company’s shares together. Based on the results of the vote, the plant’s net profit for the year 2018 will get directed to dividend payments (RUB 4.702bn all in all/RUB 15.38 per ordinary share).

‘The AGM attendees also elected the new Board of Directors: Andrei Komarov, Alexander Fedorov, Boris Kovalenkov, Oleg Seleznev, Sergey Yankovsky, Dina Mikhryukova, and Independent Director Vadim Makhov. Vadim Makhov is currently a business practice professor at Moscow School of Management SKOLKOVO; he worked as Counselor to Chair of the Supervisory Board at Gazprombank and as President of United Heavy Machinery in the past. Makhov has been Chair of the ChelPipe BOD Committee for Strategic Planning since 2017,’ the press service says.

Additionally, Anna Borodayenko, Alexei Golovanov, and Igor Mitin got re-elected as members of the Review Committee. OOO Audit-Klassik got decided upon as the independent auditor for the plant’s accounting reports based on the Russian accounting standards. The AGM participants also ratified the appointment of Deloitte and Touche CIS as the plant’s independent auditor for the accounting reports based on the International Accounting Standards.
A number of promising deals also got approved of.
